Corporate Governance in an Israeli Nasdaq-Listed Company.

The Haifa District Court (Economic Division) has denied a motion for interim relief filed by U.S. investment fund Steel Partners against Nasdaq-listed InMode, the company’s CEO and founder, Moshe Mizrahi, and additional directors.

Orr Noy, Danny Belenkin, and Or Talmon, attorneys at our firm, represent InMode, Moshe Mizrahi, and an additional director in the proceedings.

The proceedings involve complex issues of corporate and securities law, including determining whether a controlling interest exists in the public company; the status of an independent committee established to evaluate proposals as part of a going-private process; and the independence and lack of conflicts of interest of directors.
